Terms of Service


These Terms of Service govern access to and use of AXO Signal, including our websites, applications, APIs, intelligence services, software and associated functionality (collectively, the "Service").


By creating an account, purchasing a subscription or using the Service, you agree to these Terms.


1. About AXO Signal


AXO Signal is a technology and commercial intelligence platform designed to help organisations discover, analyse, enrich and act upon business information and commercial signals.


The Service may include company discovery, data enrichment, commercial intelligence, automated analysis, artificial intelligence, integrations, APIs, workflow automation and related functionality.


2. Eligibility and authority


You must be legally capable of entering into a binding agreement to use AXO Signal.


If you use AXO Signal on behalf of an organisation, you confirm that you have authority to bind that organisation to these Terms.


3. Licence


Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable and revocable licence to access and use AXO Signal for your legitimate internal business purposes.


No ownership rights in AXO Signal or its underlying technology are transferred to you.


4. User accounts


You are responsible for:


  • providing accurate account information;
  • maintaining the confidentiality of login credentials;
  • controlling access to your account;
  • activities undertaken through your account; and
  • notifying us promptly of suspected unauthorised access.


Accounts must not be shared outside the organisation or licence scope for which they were issued.


5. Data and intelligence


AXO Signal may aggregate, analyse or enrich information obtained from multiple sources.


Information presented through AXO Signal may include:


  • publicly available information;
  • licensed or third-party data;
  • customer-provided information;
  • derived information;
  • algorithmic assessments;
  • artificial intelligence outputs; and
  • proprietary AXO Signal intelligence.


We take reasonable steps to maintain the quality of our services but do not warrant that every data point, prediction, classification, score or recommendation will be complete, current or error-free.


AXO Signal provides commercial intelligence and decision-support information. It should not be treated as legal, financial, accounting, credit, investment or other regulated professional advice.


Users remain responsible for decisions made using the Service.


6. Artificial intelligence and automated analysis


Certain AXO Signal functionality uses artificial intelligence, machine learning, scoring models or other automated techniques.

Outputs may be probabilistic, inferential or generated from incomplete information.


You must exercise appropriate human judgement before relying upon automated outputs for material business decisions.


You must not use AXO Signal to make unlawful solely automated decisions about individuals or for purposes prohibited by applicable data protection, employment, credit, consumer or discrimination law.


7. Acceptable use


Use of AXO Signal is subject to our Acceptable Use Policy.


You must not use the Service:


  • unlawfully;
  • fraudulently;
  • to harass or discriminate;
  • to circumvent privacy or data protection requirements;
  • to facilitate unsolicited communications contrary to applicable law;
  • to obtain unauthorised access to systems or data;
  • to reverse engineer protected elements of the Service;
  • to scrape the Service through unauthorised automated methods; or
  • in a manner that materially harms AXO Signal, its infrastructure, users or third parties.


8. Customer responsibility for data


Where you upload, import, connect or otherwise provide information to AXO Signal, you confirm that you have the necessary rights, permissions and lawful basis to provide and process that information.


You remain responsible for your use of exported information and for ensuring that subsequent processing and communications comply with applicable law.


9. Third-party services and integrations


AXO Signal may integrate with third-party platforms, applications, APIs and data providers.


Third-party services remain subject to their own terms, availability and privacy practices.


We are not responsible for changes, suspension or discontinuation of services controlled by third parties.


10. Fees and payment


Paid services are charged according to the subscription, order form or commercial agreement applicable to your account.

Unless otherwise stated:


  • fees are exclusive of VAT and applicable taxes;
  • subscriptions are billed in advance;
  • charges are non-refundable except where required by law or expressly agreed otherwise; and
  • failure to pay amounts when due may result in restriction or suspension of the Service.


11. Intellectual property


All intellectual property rights in AXO Signal and its underlying technology, including software, architecture, algorithms, models, interfaces, methodologies, databases, documentation, branding and proprietary intelligence, remain owned by or licensed to us.


Customers retain ownership of information they provide to the Service.


Nothing in these Terms transfers ownership of AXO Signal intellectual property to the customer.


12. Service availability


We aim to provide a reliable and continuously available service but do not guarantee uninterrupted or error-free operation.


We may temporarily restrict availability for maintenance, security, upgrades, infrastructure changes or circumstances outside our reasonable control.


13. Suspension and termination


We may suspend or terminate access where reasonably necessary because of:


  • material breach of these Terms;
  • non-payment;
  • security risk;
  • suspected fraud or unlawful activity;
  • misuse of the Service; or
  • conduct creating material risk to AXO Signal or another party.


Customers may terminate subscriptions in accordance with their applicable subscription or commercial agreement.


14. Liability


Nothing in these Terms excludes or limits liability where doing so would be unlawful, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.


Subject to the above, AXO Signal is not responsible for indirect or consequential loss, loss of anticipated profits, loss of business opportunity or decisions made solely in reliance upon intelligence, predictions or AI-generated outputs produced through the Service.


I would have your solicitor determine the final financial liability cap here rather than us inventing one.


15. Changes


We may update these Terms where reasonably necessary to reflect changes to the Service, law, security requirements or commercial operation.

Material changes will be communicated where appropriate.


16. Governing law


These Terms are governed by the laws of England and Wales.


The courts of England and Wales shall have jurisdiction, subject to any mandatory rights that cannot lawfully be excluded.
